Vistafi Financial – Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you”) and Vistafi Financial, Inc. (“Vistafi,” “we,” “us,” or “our”) governing your access to and use of the Vistafi Financial platform, website, mobile applications, and related services (collectively, the “Services”).
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Description of Services
Vistafi Financial provides a cash management and financial technology platform that enables users to:
•Access cash management accounts
•View pooled balances and transaction activity
•Aggregate external financial accounts
•Generate financial reports and statements
•Connect third-party services such as accounting platforms and data providers
Vistafi Financial is a cash management company and financial technology provider, not a bank.

2. Cash Management & FBO Trust Account Structure
All customer funds associated with the Services are held in a pooled “For Benefit Of” (“FBO”) trust account maintained at one or more FDIC-insured partner financial institutions.
Funds deposited through the Vistafi platform are not held directly by Vistafi, but are held by partner bank(s) for the benefit of Vistafi customers.

3. FDIC Insurance Disclosure
Funds held in the pooled FBO trust account are eligible for pass-through FDIC insurance, subject to applicable FDIC rules and coverage limits, up to $250,000 per beneficial owner, per insured bank, for each ownership category.
FDIC insurance applies only in the event of a failure of the partner bank and does not protect against the failure of Vistafi Financial.

4. No Banking or Fiduciary Relationship
Vistafi does not:
•Operate as a bank
•Accept deposits in its own name
•Lend funds
•Provide fiduciary, investment, tax, or legal advice
Use of the Services does not create a fiduciary, custodial, or advisory relationship between you and Vistafi.

5. Eligibility
You must be at least 18 years old and have the legal authority to enter into this agreement. The Services may be used only for lawful purposes.

6. User Accounts
You agree to provide accurate information, maintain the confidentiality of your credentials, and notify Vistafi immediately of any unauthorized use of your account. You are responsible for all activity conducted through your account.

7. Third-Party Services & Integrations
The Services may integrate with third-party providers, including financial data aggregators, accounting platforms, payment processors, and APIs.
Your use of third-party services is governed by their respective terms and policies. Vistafi is not responsible for the availability, accuracy, or performance of third-party services.

8. Data Authorization
By connecting external accounts, you authorize Vistafi to access, retrieve, store, and process financial data for the purpose of providing the Services. You may revoke access at any time through your account settings.

9. Fees
Certain Services may be subject to fees, which will be disclosed prior to use. Vistafi reserves the right to modify pricing with reasonable notice.

10. Acceptable Use
You agree not to misuse the Services, engage in unlawful activity, attempt to reverse engineer the platform, or submit false or misleading information.

11. Intellectual Property
All software, content, trademarks, and technology are owned by or licensed to Vistafi and are protected by applicable intellectual property laws. You are granted a limited, revocable, non-exclusive license to use the Services.

12. Disclaimer of Warranties
The Services are provided on an “as-is” and “as-available” basis. Vistafi disclaims all warranties, express or implied, including warranties of accuracy, reliability, and fitness for a particular purpose.

13. Limitation of Liability
To the maximum extent permitted by law, Vistafi shall not be liable for indirect, incidental, consequential, or special damages arising from your use of the Services.

14. Indemnification
You agree to indemnify and hold harmless Vistafi from any claims, damages, or liabilities arising from your use of the Services or violation of these Terms.

15. Suspension & Termination
Vistafi may suspend or terminate access to the Services at any time for any reason, including violation of these Terms.

Vistafi may update these Terms from time to time. Continued use of the Services constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-law principles.
